THESE GENERAL TERMS OF SERVICE (the “Terms”) form a binding agreement between Targitr Ltd, trading as Targitr (“Targitr,” “We,” “Us,” or “Service Provider”) and you, the customer, or where applicable, the organisation you represent (“You,” “Client,” or “User”), governing your access to and use of the Targitr website https://targitr.com/, platform, and any related services offered by Targitr (collectively, the “Services”).
Targitr reserves the right to amend or update these Terms at any time, at its sole discretion, by publishing an updated version on our website and, where reasonably possible, by providing notice at least 14 days in advance of the effective date. Your continued use of the Services constitutes acceptance of the revised Terms.
These Terms apply in conjunction with:
Any specific terms agreed between You and Targitr (“Specific Terms”),
Targitr’s policies including our Privacy Policy, DPA and
Any additional rules or guidelines published by Targitr in relation to the Services.
The Services are designed for professional, business use only and are not available to individuals under the age of 18.
1. Definitions
For the purpose of these Terms:
“Assistance Services” refers to any consulting, onboarding, technical integration, or training services provided by Targitr to help You implement and use the Services.
“Data” means any information or content, including personal data, that You upload, process, or otherwise handle through the Services.
“Service” refers to the Targitr platform and related features, including but not limited to performance tracking, incentive management, reporting tools, and integrations with third-party systems.
“Intellectual Property Rights” covers all copyright, trademark, design, patent, software, and related ownership rights.
“Operating Policies” means any Targitr policies or guidelines that govern acceptable use of the Services, including the Privacy Policy.
“Website” means the web application(s) and associated interfaces made available by Targitr.
2. Support and Service Levels
2.1 Reasonable Efforts
Targitr will use commercially reasonable efforts to maintain availability and functionality of the Services in line with industry standards. We may also provide additional services (such as premium support, advanced integrations and custom features/functions), which may be subject to separate fees and agreed terms.
2.2 Support
You are responsible for appointing an account administrator (“Administrator”) to act as the primary contact for support. Targitr will provide second-level support to the Administrator, including answering queries and resolving technical issues that cannot be resolved internally. Support requests must be submitted to contact@targitr.com
3. Use of the Services
3.1 Permitted Use
You agree to use the Services only in accordance with these Terms and applicable laws. You may not resell, sublicense, or otherwise provide access to the Services to third parties unless expressly agreed in writing.
3.2 Credentials
You must provide accurate registration details and keep your login credentials secure. You are responsible for all activity under your account. In case of unauthorized access, you must notify Targitr immediately.
3.3 Content Responsibility
You are solely responsible for all data, information, or content you input into the Services. This includes ensuring your use does not:
Infringe any third-party rights,
Contain malware or harmful code,
Include unlawful, abusive, or misleading material, or
Violate any applicable regulations.
Targitr may remove or restrict access to content where reasonably necessary to prevent unlawful or harmful activity.
3.4 Fair Use & Restrictions
You agree to comply with Targitr’s Fair Use Policy. Targitr reserves the right to restrict or suspend your account if your usage:
Exceeds reasonable technical or operational limits,
Negatively impacts other users, or
Breaches these Terms.
4. Compliance with Law
You must comply with all applicable laws and regulations in connection with your use of the Services, and indemnify Targitr from any claims or damages arising from your failure to do so.
5. Subscription Plans & Fees
5.1 Plans
Targitr offers subscription plans on an annual basis. Pricing and available plans are listed at targir.com/pricing
5.2 Renewals
Subscriptions automatically renew unless cancelled at least 30 days before the renewal date.
5.3 Plan Changes
Due to plans being annual contracts, plans can only be downgraded at the end of the term stated in the contract. Customers however may add more users throughout any point in time during the term.
5.4 Taxes
Prices exclude VAT and other applicable taxes, which may be charged depending on your billing location.
5.5 Changes in Fees
Targitr may revise fees with at least 30 days’ notice. Continued use of the Services after the effective date constitutes acceptance of the revised fees.
6. Termination
6.1 Termination by You
Due to our contracts being annual, the Customer may terminate mid contract however is not entitled to a refund. Please get in touch if you would like to not renew for the following year.
6.2 Termination by Targitr
We may suspend or terminate your account if you breach these Terms, fail to pay fees, or misuse the Services.
6.3 Consequences
Upon termination, access to your account and stored Data will end. Prepaid fees are non-refundable.
7. Intellectual Property
All intellectual property relating to the Services remains owned by Targitr or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Services for the duration of your subscription.
8. Warranties
Targitr provides the Services on an “as is” basis. While we will use reasonable efforts to maintain functionality, we do not warrant that the Services will be error-free or uninterrupted.
9. Limitation of Liability
To the fullest extent permitted by law, Targitr’s liability is limited to the amount paid by You in the twelve (12) months preceding the claim. Targitr shall not be directly liable for indirect or consequential damages such as lost profits, business interruption, or data loss, and may be taken forward through our insurance provider.
10. Confidentiality
Both parties agree to keep confidential any non-public information exchanged in connection with these Terms, except where disclosure is legally required.
11. Miscellaneous
11.1 Assignment
You may not transfer your rights or obligations under these Terms without prior written consent from Targitr.
11.2 Subcontractors
Targitr may engage subcontractors in providing the Services but remains responsible for their performance.
11.3 Entire Agreement
These Terms, together with any Specific Terms and applicable policies, constitute the entire agreement between the parties.
11.4 Severability
If any provision is found invalid, the remainder of the Terms remain enforceable.
11.5 Force Majeure
Targitr will not be liable for failure to perform due to circumstances beyond our reasonable control, such as natural disasters, cyberattacks, or network outages.
12. Your Data
You retain ownership of all Data uploaded to the Services. By using the Services, you grant Targitr the necessary rights to host, process, and transmit your Data solely for the purpose of providing the Services.
Targitr may use third-party providers (e.g., cloud hosting) to deliver the Services. We do not claim ownership of your Data, and you are responsible for ensuring its legality and compliance with these Terms.
